These Terms of Service (“Terms”) govern your access to and use of the website operated by Stichting Transnationale Universiteit Limburg (“we”, “us”, “our”), as well as any inquiry, registration request, or other submission made through our forms. By using this website, you agree to be bound by these Terms and our Privacy Policy, which is incorporated by reference.

If you do not agree to these Terms, you must not use the website. If you are using the website on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

The service area described on the website focuses on Canada. Our administrative office is in Maastricht, Netherlands. The website may be accessed from other locations; however, we make no representation that the content or described services are appropriate or available everywhere.

To the extent liability cannot be excluded, our total direct liability for any claim arising out of or relating to the website or these Terms is limited to the greater of (a) the amount you paid to us in the 12 months before the event giving rise to the claim, or (b) €100.

Nothing in these Terms limits liability for intent (opzet) or willful recklessness (bewuste roekeloosheid), or for any liability that cannot be limited under applicable law.

10. Indemnification

You agree to indemnify and hold harmless Stichting Transnationale Universiteit Limburg from and against claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from or related to: (a) your misuse of the website, (b) your submissions through the website, or (c) your breach of these Terms.

11. Force Majeure

We are not liable for delays or failures to perform caused by events beyond our reasonable control, including natural disasters, war, civil disturbances, pandemics, governmental actions, labor disputes, internet or telecommunications outages, cyberattacks, or failures of third-party hosting or cloud providers.

12. Governing Law and Jurisdiction

These Terms and any dispute arising out of or relating to the website or these Terms are governed by the laws of the Netherlands, excluding its conflict of laws principles.

Subject to mandatory consumer protections, the competent courts of the Netherlands will have exclusive jurisdiction to resolve disputes. If you are a consumer resident in the European Union, you may also have the right to bring proceedings in the courts of your place of residence under applicable consumer law.

Before filing a formal claim, you agree to contact us and allow a 30-day period to attempt to resolve the issue informally.

13. Termination

We may suspend or terminate access to the website for violations of these Terms or for security reasons. Termination does not affect any rights or obligations that, by their nature, should survive, including intellectual property, disclaimers, limitation of liability, and governing law.

14. Severability

15. Entire Agreement

16. Assignment

We may assign or transfer our rights and obligations under these Terms to an affiliate or successor as part of a reorganization, merger, acquisition, or asset transfer. You may not assign these Terms without our prior written consent.

17. No Waiver

If we do not enforce a provision of these Terms, that does not constitute a waiver of our right to enforce it later. Any waiver must be in writing to be effective.

18. Modifications to These Terms

We may update these Terms from time to time. Changes take effect 14 days after posting, unless a change is required by law or is purely administrative, in which case it may take effect immediately. The “Last Updated” date at the top of this page indicates when the Terms were most recently revised.

19. Electronic Communications

You agree that communications we provide to you electronically satisfy any legal requirement that such communications be in writing. Submitting forms and clicking consent checkboxes on the website may constitute an electronic signature where permitted by applicable law, including eIDAS.
